Terms of Use

These Terms of Use ("Terms") govern your access to and use of CaseLedger ("the Service"), operated by CaseLedger Inc. ("we", "us", "our"). By using the Service, you agree to these Terms.

1. Eligibility

The Service is available to licensed lawyers and their clients in Canada. You must be at least 18 years old to create an account. By registering, you represent that you have the legal capacity to enter into a binding agreement.

2. Account Registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account and for all activities that occur under it. Notify us immediately if you suspect unauthorized access.

3. Acceptable Use

You agree to use CaseLedger only for lawful purposes. You may not:

  • Use the Service to store or transmit illegal content
  • Attempt to access another user's data
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Use automated tools to scrape, crawl, or extract data from the Service
  • Upload files containing malware, viruses, or other harmful code
  • Interfere with the operation or security of the Service

4. Your Data

Ownership

You own all data you upload to CaseLedger. We do not claim any ownership rights over your case files, documents, notes, or any other content you create or upload. You grant us only the limited right to store, process, and display your data as necessary to provide the Service.

Data Export

You may export your data at any time. We provide tools to download your documents and case information in standard formats.

Data Deletion

You may delete individual documents, cases, or your entire account at any time. When you delete data, it is permanently removed from our systems within 30 days (to allow for backup rotation). We do not retain copies of deleted data.

5. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

6. Confidentiality

We understand that data stored in CaseLedger may include confidential information protected by solicitor-client privilege. We commit to:

  • Never accessing your case data except as technically necessary to operate the Service (e.g., automated backups, system maintenance)
  • Never disclosing your data to third parties except as required by law, and only after exhausting all available legal challenges
  • Notifying you of any legal process seeking access to your data, unless prohibited by law

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or security reasons. We will provide reasonable advance notice when possible.

8. Limitation of Liability

CaseLedger is a case management tool. It is not a substitute for legal advice. We are not responsible for legal outcomes based on information organized using our platform.

To the maximum extent permitted by law, CaseLedger's total liability for any claim arising from your use of the Service is limited to the amount you have paid us in the 12 months preceding the claim, or $100 CAD, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless CaseLedger, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Modifications

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance.

11. Termination

You may close your account at any time. We may suspend or terminate your access if you violate these Terms, subject to reasonable notice. Upon termination, you may export your data for 30 days before it is permanently deleted.

12. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes will be resolved in the courts of the judicial district of Montreal, Quebec.
